Service Agreement

======== This is an agreement between CAPITAL RESEARCH BUREAU, LLC and ______________, hereafter referred to as CLIENT. The parties agree CAPITAL RESEARCH BUREAU, LLC shall provide CLIENT with investigative services which may result in: written reports, recorded statements, documents, photographic, video, audio, and related materials, as set forth by the terms and conditions below. CLIENT agrees to pay CAPITAL RESEARCH BUREAU, LLC an hourly rate of $___________ plus necessary and reasonable expenses. Expenses may include, but are not limited to; mileage, travel, parking, rental vehicles, and data base research fees. Any unusual projected expense will be outlined in the "other" section at the end of this document. CLIENT further agrees to a retainer of $_____ before investigative services begin. CAPITAL RESEARCH BUREAU, LLC will refund any of Client's funds that are unused at the conclusion of investigative effort. CAPITAL RESEARCH BUREAU, LLC shall be due final payment from CLIENT upon receipt of an invoice or the verbal transmission of final investigative findings. If the full amount is not remitted within 15 days, a finance charge of 1.25% per month will be assessed on all balances due. This agreement shall commence on the most recent date of the signing by both parties. It will continue until reasonable investigative effort has been reached or terminated by either party for convenience. Either party must provide a 5-day advance written notice for convenience termination. This agreement will also remain active until all final payments are made to CAPITAL RESEARCH BUREAU, LLC. CAPITAL RESEARCH BUREAU, LLC warranties CLIENT that the services shall be performed with the degree of skill and care that is required and in conformance of accepted professional standards and practice in the private investigations industry. CAPITAL RESEARCH BUREAU, LLC further acknowledges that in performing the services it will comply with all applicable local, state, and federal laws, regulations and rules including without limitation, those pertaining to the protection of sensitive information and attorney client privilege. Except as specifically provided above, CAPITAL RESEARCH BUREAU, LLC disclaims all other warranties, expressed or implied. All investigative reports, information, tapes, or documents, provided to CLIENT are to be considered exclusive in nature. CLIENT agrees to restrict the dissemination of said findings to only third parties with a legitimate need to know or those authorized by law. CLIENT will hold CAPITAL RESEARCH BUREAU, LLC harmless from damages, losses, cost and expenses, including any attorney or legal fees, suffered/incurred in connection with or arising out of claims based on investigative results provided to CLIENT, and for which CLIENT fails to keep strictly confidential. CAPITAL RESEARCH BUREAU, LLC will retain all investigative information in a secure manner and not disseminate or release any material to third parties unless authorized by CLIENT or legal court order. CLIENT agrees to provide immediate written or verbal notice of any legal or civil proceedings, in which the investigative findings of CAPITAL RESEARCH BUREAU, LLC or any portion thereof, are to be of material issue. CAPITAL RESEARCH BUREAU, LLC is an independent contractor and shall not be deemed an employee, agent, or partner in any manner, of CLIENT. Neither party shall have the authority to make any binding representative or agreement on behalf of the other. This instrument contains the entire contract between both parties. Any other expressions that are not outlined in this device are null and void. Any amendment or modification of this agreement shall be in writing, duly executed by both parties, and appended to this document. Other: Signed this ____________ day of __________, 2008.
